Terms of Service
The terms on which Bizmo provides formation, banking, e-commerce and filing services.
Last updated 2 August 2026DRAFT — pending legal review. This policy is a working draft and has not yet been reviewed by a qualified lawyer. It describes our intended practice; if something here conflicts with what we tell you in writing, ask us.
Who you are contracting with
Bizmo provides business formation and related administrative services.
The contracting legal entity, its country of registration, and the governing law for any dispute are being confirmed as part of the legal review noted above. Ask us and we will tell you in writing before you engage us.
What we do
We prepare and submit filings, applications and account openings on your instructions, and we explain how each process works. The specific deliverables are whatever the package you bought lists on this site at the time you bought it.
What we are not
Bizmo is not a law firm, is not a bank, and does not provide legal or tax advice. Information on this site is general and does not constitute professional advice.
Choosing a company structure for tax reasons, or interpreting a rule as it applies to your circumstances, is work for a lawyer or accountant qualified in the relevant jurisdiction. Where a question needs one, we will tell you rather than answer it.
What we need from you
- Accurate, complete and current information. Filings are made on what you tell us; a correction after filing usually means a new fee from the registry.
- Documents when we ask for them. Most delays in this work are waiting on a document.
- Lawful purpose. We will not knowingly assist with a filing intended to conceal ownership from a body entitled to know it, evade sanctions, or facilitate fraud, and we will stop work and retain fees if we conclude that is what is happening.
- Your own compliance after formation. Once the company exists, its filings and taxes are its owners' responsibility unless you have engaged us for that specific work.
Timelines
Timelines quoted on this site are our own turnaround, not the government's. Registry, IRS and bank processing times are outside our control and can change without notice. We will tell you what we are seeing in practice, and we will not present a queue we don't control as a guarantee.
Outcomes we cannot guarantee
We do not guarantee that a bank will open an account for you, that a marketplace will approve your seller account, that the IRS will issue an ITIN, or that a trademark application will be granted. These are decisions made by third parties against their own criteria.
What we do commit to is preparing the application properly, telling you honestly what your chances look like, and where a banking partner declines, resubmitting through an alternate partner at no additional charge.
Fees and third-party costs
Package prices are stated on this site and include the government filing fee identified on each package. They do not include taxes owed by your company, later-year renewal costs, or fees charged directly to you by a bank or marketplace.
Government and registry fees are paid onward on your behalf and are not refundable to us once submitted. Invoices are issued in the currency listed on the package; BDT figures shown on this site are indicative conversions.
Refunds and cancellation
Set out in the Refund Policy, which forms part of these terms.
Confidentiality
We treat what you tell us as confidential and disclose it only to the parties needed to perform the work, or where we are legally required to. See the Privacy Policy for the detail.
Limitation of liability
To the extent permitted by law, our liability arising out of the services is limited to the fees you paid us for the service in question. We are not liable for lost profits, lost business, or consequential loss.
Nothing in these terms limits liability that cannot lawfully be limited.
Ending the engagement
Either of us may end the engagement in writing. If you end it, the Refund Policy determines what is returned. If we end it because we cannot lawfully or practically continue, we will refund fees for work not yet performed and hand over the documents you are entitled to.
Changes
We may update these terms. The version that applies to your engagement is the one published when you engaged us. Material changes will be reflected in the date at the top of this page.
